Future Technology means any Technology that either Party or its Affiliates (other than its Acquirer or such Acquirer’s Affiliates) comes to Control after the Effective Date that is necessary to develop, make, have made, use, sell, offer for sale, import, export or otherwise exploit Compound or Product for the Plan.
