Article of association is one of the important documents of a company . For registration of the company,it should be attached with the application and submitted to the concerned office. It specifies the way of implementing the major provisions mentioned in memorandum of association . It defines the mode and manner in in which the company’s business is to be carried out to achieve its objectives as stated in the memorandum of association. It also mentions the appointment of board of directors , procedure for holding meeting transfer of share, forfeiture and reissue of shares, rules regarding loans, appointment of the auditor, rules regarding declaration of dividend etc.
